ETHICAL PRINCIPLES AND VALUES

NIBO bases its actions on the following ethical principles and values, which constitute the founding basis of the code.

Knowledge of and compliance with the Code’s requirements represent essential conditions for establishing and maintaining collaborative relationships between the company, its personnel, and third parties, towards whom NIBO commits to respecting the code in a context of absolute transparency.

MORALITY

The quality and efficiency of the company organization as well as NIBO’s reputation constitute assets of primary importance and are substantially determined by the conduct of direct Recipients.

All Recipients are therefore required, in their behavior, to contribute to safeguarding these assets and, in particular, NIBO’s reputation, both in and outside the workplace.

Specifically, each Recipient must maintain, in carrying out their functions, conduct based on moral integrity, honesty, fairness, and good faith (assuming responsibilities according to their duties) as well as transparency (handling information promptly and implementing communication and information processes inspired by clarity, completeness, precision, and sharing).

SUSTAINABILITY

NIBO considers the environment as collective heritage and therefore promotes its protection and preservation, always taking into consideration the needs of local communities within which it operates in compliance with current laws.

NIBO’s environmental policy stems from awareness of the strategic role that its business, using efficient technologies, plays in the sustainable development of the territory where it operates.
It aims for continuous improvement of performance and constant reduction of environmental impact, committing to adopt certified environmental management systems, to work for environmental risk prevention, to promote environmental awareness and training activities internally, as well as the spread of eco-efficient technologies.

LEGALITY

Respect for the law, as well as statutory regulations, is a fundamental principle for us at NIBO.

Each Recipient is required to comply with the rules of the legal system (national, supranational, or foreign). To this end, all Recipients are committed to diligently acquiring the necessary knowledge of applicable regulations in carrying out their respective functions, as in force from time to time.

Recipients must observe, in addition to the general principles of diligence and loyalty as per Art. 2104 of the Civil Code, the behavioral requirements contained in collective agreements, where applicable.

PROFESSIONALISM

Recipients carry out their activities with the professionalism required by the nature of their tasks and functions, using maximum commitment in achieving assigned objectives and diligently conducting in-depth study and updating activities.

IMPARTIALITY AND CONFLICTS OF INTEREST

In managing various social activities and making related decisions (including, but not limited to, relationships with shareholders, personnel selection and management, work organization, supplier selection and management), Recipients must operate impartially in NIBO’s interest, making decisions with professional seriousness, independence of judgment, transparency, and according to objective, impartial, and neutral evaluation criteria, avoiding situations where conflicts of interest exist.

A conflict of interest exists when the Recipient pursues their own or third-party interests in any case different from NIBO’s, or carries out activities or maintains relationships with third parties that may interfere with their ability to act or make decisions in the exclusive interest of the company, or personally takes advantage of business opportunities of the company.

In cases of conflict of interest, even if only potential, Recipients shall inform their supervisor or company reference without delay, conforming to the decisions taken by them.

SAFETY

NIBO promotes the spread of a safety culture and risk awareness in the workplace to guarantee the integrity of its own, ensuring safe, healthy working conditions that respect individual dignity.

NIBO commits to ensuring compliance with current accident prevention regulations and to this end requires its employees to maintain attentive, responsible behavior that respects company procedures, so that everyone contributes to maintaining their own safety and that of others.

CONFIDENTIALITY

In compliance with relevant regulations, NIBO maintains maximum confidentiality regarding strategic or confidential information of its suppliers, partners, and third parties in general, from whom it expects the same behavior, refraining from using confidential data, except in cases of express and conscious authorization and, in any case, always in strict compliance with current regulations (EU Regulation 2016/679 and national law).

NIBO has adopted adequate measures to protect company and/or third-party data, as well as a company “Privacy Policy” for their processing. Correctness and transparency in recording accounting data. Accounting transparency and bookkeeping according to principles of truth, completeness, clarity, precision, accuracy, and compliance with current regulations are the essential prerequisite for efficient control.

For each operation, NIBO maintains adequate supporting documentation to allow easy accounting registration, operation reconstruction, and identification of any responsibilities.

Recipients are required to collaborate in the correct and timely recording in accounting of all management activities.

NIBO condemns any behavior aimed at altering the correctness and truthfulness of data and information contained in financial statements, reports, or other corporate communications required by law or disseminated to the public or directed to control authorities, the Board of Statutory Auditors, or Legal Auditors.
